RIDGE CANADA’s Rights and Duties Regarding User Conduct and Submissions
Use of Information you Submit. By submitting information on this Site, you grant Ridge Canada, its affiliated companies, its service providers, and sub-licensees permission to use your information in connection with the operation of their businesses including, without limitation, the rights to: copy, distribute, transmit, reproduce, edit, translate and reformat your information. You agree that Ridge Canada may use any information it collects in connection with this Site for data analytics purposes, including but not limited to benchmarking, modeling, consulting, creating insights, reports and other analytics to provide, improve the quality of, and market Ridge Canada’s products and services. Where required by law, we obtain your consent prior to such use and/or utilize de-identified and/or aggregated data for analytics.
Consent to Receive Electronic Delivery of Statements, Policy Documents and Notifications for Your Ridge Canada Insurance Coverage. If you have submitted information electronically on a Ridge Canada secure website, you consent to receive your Statements, Policy Documents and website Notifications in electronic form rather than in paper form. Your consent takes effect immediately.
You understand and agree that we will notify you via email when new Statements, Policy Documents and website Notifications are available. It is your responsibility to ensure the email address included on your account profile is correct, up-to-date and functioning. Ridge Canada will not be responsible to you in any way for any damages or costs incurred by you as a result of your failure to:
1. Receive an email notification; or
2. Review your electronic Statements, Policy Documents and Notifications.Privacy. You agree that all personal information you provide or that we collect about you through this Site is governed by our Privacy Policy.
Monitoring; Termination. Ridge Canada, in its sole discretion, has the right to (i) remove or refuse to post any user content, (ii) disclose your identity or other information about you to any third party who claims that material posted by you violates their rights or in response to a subpoena, (iii) take appropriate legal action, including referral to law enforcement, for any illegal or unauthorized use of the Site, and (iv) suspend your access to this Site and refuse to provide you with any further access to it. You agree that Ridge Canada is not liable for any damages you may suffer from its exercise of these rights.
Assignment. Ridge Canada may assign these Terms and its rights and obligations under these Terms without your consent and at its sole discretion. You may not assign or transfer your rights and obligations under these Terms.
No Waiver. Ridge Canada’s failure to assert its rights at any time will not be deemed a waiver of these Terms. No consent or waiver will be effective unless in writing and signed by both parties.
Specific Legal Issues
Governing Law and Venue. You agree that any dispute arising out of or in connection with the Site or these Terms will be governed by the laws of the Province of Ontario without reference to conflict of laws principles that would require the application of the laws of any other jurisdiction. You agree to submit to the exclusive personal jurisdiction and venue of courts located in the Province of Ontario.
INDEMNIFICATION. To the extent permitted by law, you agree to indemnify Ridge Canada and its affiliates, employees, officers, directors, agents, successors, and assigns against any costs, claims, losses and damages (including legal fees) incurred by or awarded against Ridge Canada as a result of your use of this Site or your breach of these Terms.
Invalidation of Terms. If a competent authority finds any portion of these Terms invalid or unenforceable, you agree that all other Terms will remain in effect.
Void Where Prohibited; Restrictions. Ridge Canada reserves the right to limit, in its sole discretion, the provision and quantity of any feature, product or service on this website to any person or geographic area. Any offer for any feature, product or service made on the website is void where prohibited. If you choose to access the website from outside Canada, you do so on your own initiative and you are solely responsible for complying with applicable local laws. This website is not intended or authorized (a) for use in any territory or by any party subject to sanctions or export restrictions under laws applicable to Ridge Canada or you, or (b) in the case that website access or use in a territory or by a party would expose Ridge Canada or its affiliates to any sanction, prohibition or restriction under UN Security Council Resolutions or other trade or economic sanctions laws or regulations.
