Figma, a cloud-based design tool company, said Thursday it will allow investors, including current and former employees, to sell their shares in a tender offer that values the company at $12.5 billion. That’s up 25% from the valuation at which the company fundraised in 2021, but below the $20 billion acquisition offer Adobe made in 2022. Big news! Figma and Adobe abandon acquisition - "Fifteen months into the regulatory review process, Figma and Adobe no longer see a path toward regulatory approval of our proposed acquisition. Figma and Adobe have reached a joint decision to end our pending acquisition. It’s not the outcome we had hoped for, but despite thousands of hours spent with regulators around the world detailing differences between our businesses, our products, and the markets we serve, we no longer see a path toward regulatory approval of the deal. We entered into this agreement 15 months ago with the goal of accelerating what both Adobe and Figma could do for our respective communities. After 15 months of regulatory review, Adobe will not be acquiring #figma. But is it really that much of a shock? 🤔 Just earlier this week, Adobe's CEO spoke on CNBC about his belief in the acquisition, and that it would benefit Adobe/Figma users. Adobe even phased out XD, presumably pointing towards Figma as it's soon-to-be prototyping platform of choice. But, as we (and our wallets) all know, Adobe has a near-monopoly in the design software market. When news of the acquisition first broke in 2020, the creative community was asking, will Figma get more expensive? Are we even more beholden to #Adobe as the industry standard? Could this slow Figma's innovation? The answer to all of those questions was likely going to be yes. What do you think about the merger falling through?

You may have seen that Adobe’s $20 billion acquisition of Figma fell through. They still get $1billion out of it... but here's my 2 cents: I was excited to see the potential from this merger, especially with future possibilities around Adobe's AI solutions, integrations with Adobe After Effects and other potential cross-platform collaborations. But look what Figma have achieved on their own? We have a tool to help our workflows more seamless amongst many other great benefits. This is now an opportunity for Figma to continue to do this. Since they successfully acquired Diagram which had already built 100+ AI powered plugins using their API. They've already launched their own native AI features within FigJam, helping aid the discovery phase amongst other benefits. What's next? Well, I can see a lot more happening in the AI space, there's huge potential to help designers across the entire product development process. Variables are also a developing area, there's a lot happening behind the scenes in this space across the industry. I can see engineering becoming much more connected with design and designers becoming even more empowered with tools to help aid the developer handover process. But what if Figma could build the entire front-end straight from design? Well, they already can with the right plugins, I'd like to see this improved and seemingly integrated with engineering workflows and tools like Git. So more work in the Dev mode space. I would also like to see them venture into the user testing market. There's opportunities here. Imagine having all of that data connected directly to design? I love Figma it helps me with what I do. But it's not a measure of how good we are as UX designers. After 15 months of meetings with regulators defining their businesses, products, and the markets they serve, #Figma and #Adobe decided to shelve their deal. This regulatory scrutiny is fuelled by the growing apprehension surrounding big tech #acquisitions, particularly those that amplify the market dominance of established players or involve startups perceived as emerging competitors. While some may rejoice or refute this news, in my opinion, here's what the world of #design and #business would have experienced IF Adobe did acquire Figma - ✅ Adobe and Figma have both thrived on the new #AIadvancements. Joining forces to grow this technology would have helped train the #AI systems better and create more immersive and powerful designs. ✅ A more #collaborative and #inclusive design environment that eased file sharing between Adobe products and Figma. Imagine generating images on Adobe Firefly, through Figma's interface! ✅ A shared design system between the two #platforms that allowed sharing and changing of design assets to maintain a cohesive brand image. If Figma wanted the cash, then this is great. If they were hoping to be taken over and absorbed into another company, then this is not great. But you can do a lot with a $1B cash infusion that you don't owe any investor.
