Job Summary
As the Chief Legal Officer, VP & Secretary, you will play a pivotal role in providing legal counsel across our organization. Your responsibilities will include ensuring compliance with laws, regulations, and corporate governance standards, as well as serving as a key member of our executive team.
Minimum Qualifications
Juris Doctor degree from an American Bar Association (ABA) accredited law school.
Must be licensed or eligible to be licensed in North Dakota.
Minimum of ten years' experience in the legal field.
Preferred Qualifications
15 years of legal experience.
Experience working with publicly traded companies and compliance requirements.
Legal experience in construction services or related industries.
Experience in courtroom litigation and/or administrative law proceedings.
Responsibilities
Provide legal guidance to our leadership team and subsidiary boards.
Review and coordinate legal matters impacting the company.
Assist in board meeting preparation and corporate governance duties.
Supervise internal legal department activities and external counsel.
Ensure compliance with corporate governance standards.
Collaborate with the CFO on rating agency communications and D&O insurance matters.
Participate in the Disclosure Committee and liaise with the Audit Committee.
Oversee corporate minute books maintenance and ethics policies.
Perform assigned tasks and projects as needed.
Benefits
Competitive salary ranging from $376,000 to $540,500 annually.

Role based in Bismarck office with minimal travel (up to 10%).
