Alphabet Exchange Offer Issue Price Disclosure

Disclosure Pursuant to U.S. Treasury Regulations Section 1.1273-2(f)(9) For Alphabet Notes Due 2021 and 2024 Issued in 2016 Exchange Offers

On April 27, 2016, Alphabet Inc. (“Alphabet”) consummated exchange offers and consent solicitations with holders of Google Inc. (“Google”) Notes pursuant to which, among other things: Alphabet (i) issued 3.625% Alphabet Notes due 2021 (the “2021 Notes”) in exchange for 3.625% Google Notes due 2021 and (ii) issued 3.375% Alphabet Notes due 2024 (the “2024 Notes”, and, together with the 2021 Notes, the “Alphabet Notes”) in exchange for 3.375% Google Notes due 2024.

Pursuant to U.S. Treasury Regulations section 1.1273-2(f)(9), Alphabet has made the following determinations with respect to the Alphabet Notes, and this disclosure is intended to satisfy Alphabet’s requirements thereunder to disclose these determinations:

(i) the 2021 Notes (CUSIP Number 02079KAA5) are “traded on an established market” within the meaning of U.S. Treasury Regulations section 1.1273-2. The issue price of the 2021 Notes within the meaning of U.S. Treasury Regulations section 1.1273-2(b) is 109.913.

(ii) the 2024 Notes (CUSIP Number 02079KAB3) are “traded on an established market” within the meaning of U.S. Treasury Regulations section 1.1273-2. The issue price of the 2024 Notes within the meaning of U.S. Treasury Regulations section 1.1273-2(b) is 108.844.

Pursuant to Treasury Regulations section 1.1273-2(f)(9), these determinations are binding on a holder of the Alphabet Notes unless such holder explicitly discloses, that its determination is different from Alphabet’s determination on the holder’s timely filed federal income tax return for the taxable year that includes its acquisition date of the Alphabet Notes, in accordance with the requirements of the regulations.
